Terms of Service

1. Acceptance of Terms

By accessing or using this platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service. The Service is operated by the platform operator ("Operator," "we," "us," or "our"). By creating an account, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Description of Service

The Service is an independent, third-party automation assistance tool that helps users monitor and interact with scheduling platforms. The Service is an invitation-only prototype and may be modified, limited, or discontinued at any time. The Service operates independently and is not affiliated with, endorsed by, or connected to any third-party platform, employer, or organization. The Service provides users with tools to manage availability calendars, automate authorized actions, and monitor scheduling activity based on user-configured preferences.

3. Account Registration and Access

Access to the Service requires approval. Submitting a request does not guarantee access. The Operator reserves sole discretion to approve, deny, suspend, or revoke access at any time, with or without cause. Access to the Service is a limited, revocable permission and not a guaranteed right, property interest, or entitlement. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Subscription and Payment

Use of the Service requires a paid subscription of $10.00 per month, billed automatically. In addition, each work order accepted by the Service consumes one scheduling bandwidth unit billed at a flat $25.00 per accepted work order. By subscribing, you authorize recurring and per-use charges to your payment method on file. Failure to maintain an active subscription or payment method may result in immediate suspension or termination of access. The Operator may, in its sole discretion, remove users and issue refunds for unused prepaid subscription time or unused prepaid bandwidth amounts, subject to the Refund Policy and applicable law.

5. User Responsibilities

You agree that you are solely responsible for:

• Maintaining accurate and current availability in the calendar;
• Blocking unavailable times and dates promptly;
• Resolving any scheduling conflicts that arise;
• Ensuring compliance with your own employer, contractor, or platform agreements;
• Confirming that your use of automation tools is permitted under any applicable contracts, terms of service, or employment agreements;
• All actions performed by the Service on your behalf using your credentials and configured settings.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose;
• Provide false or misleading information during registration;
• Attempt to reverse-engineer, decompile, or access the source code of the Service;
• Interfere with the operation, security, or integrity of the Service;
• Share your account credentials with third parties;
• Use the Service to harass, defraud, or cause harm to any person or entity.

7. Service Availability

The Service is provided on an "as available" basis. Because this is a prototype, we do not guarantee uninterrupted, error-free, or continuous operation, any specific uptime, or any minimum scheduling results. Scheduled or unscheduled maintenance, third-party platform changes, network conditions, or other factors may affect availability. The Operator is not liable for any losses, damages, or missed opportunities arising from service interruptions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATOR'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE PRECEDING 30 DAYS.

IN NO EVENT SHALL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOST PROFITS, LOST OPPORTUNITIES, EMPLOYER OR PLATFORM ACTIONS, THIRD-PARTY ENFORCEMENT, ACCOUNT SUSPENSIONS OR BANS, SCHEDULING CONFLICTS, OR AUTOMATION CONSEQUENCES, REGARDLESS OF THE THEORY OF LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Operator, its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE OPERATOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE OPERATOR DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

11. Third-Party Platforms

The Service may interact with third-party platforms on your behalf. We have no control over and assume no responsibility for the content, policies, practices, availability, or actions of any third-party platform. Your use of third-party platforms is governed by those platforms' respective terms and policies. The Operator is not responsible for any consequences arising from changes, restrictions, or enforcement actions taken by third-party platforms.

12. Modification of Terms

The Operator reserves the right to modify these Terms at any time, including pricing, payment structure, feature scope, and access conditions. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Service following any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

13. Termination

The Operator may terminate or suspend your access at any time, with or without notice, for any reason, including but not limited to violation of these Terms, risk management, compliance, business decisions, or product changes. Upon termination, your right to use the Service ceases immediately. If the Operator terminates access for convenience (and not for user breach), the Operator may, in its sole discretion, refund unused prepaid subscription time and unused prepaid bandwidth amounts. Provisions that by their nature should survive termination shall remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Operator is established, without regard to conflict of law principles.

15. Dispute Resolution

All disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration as described in the Arbitration & Dispute Resolution Policy. By agreeing to these Terms, you waive the right to participate in a class action lawsuit or class-wide arbitration.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Credential Authorization Agreement, Payment & Billing Policy, Refund Policy, Disclaimer of Affiliation, Data Security Policy, Cookie Policy, and Arbitration & Dispute Resolution Policy, constitute the entire agreement between you and the Operator regarding the Service.
